Acquisition search
After confirming your acquisition criteria, we use a combination of specialist databases and key contacts in our proprietary networks to identify local and international targets for your consideration.
The scope of our work varies and may simply include target appraisal and a preliminary assessment. Or, as is more often the case, our expertise takes you to the next level with initial approaches to the target(s) and inviting exploratory discussions (confidential or otherwise) which may then lead to an acquisition.
Acquisition management
When an appropriate target(s) has been identified, we are on board to help you to negotiate the transaction right from the opening offer through to completion.
The process begins with our providing valuation, pricing and financing advice to formulate your offer. We then design the offer structure and associated terms, which includes drawing on tax experts to ensure the proposed structure is tax efficient and also takes account of any competing offers for the target. Finally, we advise and liaise on all aspects of negotiating the transaction to completion.
Divestment management
Divestment options include trades sales, public listings, selling to institutional investors and MBOs. Once you have made the decision to sell, we are available to advise and assist in every aspect of the sale process. This begins with identifying what is for sale, the likely value range and any ongoing business issues.
Secondly, we create the selling documentation and manage the sales process including marketing the business to potential buyers. Finally, we advise and liaise on the structure of the sales proceeds you will receive and the associated contractual terms to negotiate the best deal possible.
Fairness and expert opinions
We provide fair and independent opinions to shareholders and other stakeholders. Regulatory framework and sound governance requirements call for this level of expertise.
We have a strong track record of delivering this advice. We make a point of documenting complex issues in easily understood language to maximise the transparency of our opinion.
Financing and structuring advice
We advise on sourcing and structuring debt and equity in order to fund transactions effectively. We draw on specialist tax and accounting expertise to ensure that funding structures are practical to manage and tax efficient.
Management Buyouts (MBOs)
Our MBO team are experts in negotiating the often complex structure of management buyouts. Firstly, we help you confirm if an MBO is feasible. If so, we advise you on how to approach the owners, taking into account any sensitivities from the vendor's perspective.
